Terms of Service

By accessing or using GuideJot (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and that your use of the Service does not violate any applicable law or regulation.

GuideJot is a platform that transforms YouTube video content into structured Standard Operating Procedures (SOPs) via credit-based generation. Users submit YouTube URLs and, in exchange for credits, receive a generated output document (the "Generated Content").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We do not guarantee the accuracy, completeness, or format of Generated Content — outputs are provided "as is" for informational purposes only, and you are solely responsible for verifying their suitability for your use case.

To access the Service beyond any available guest-checkout path, you must register for an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it promptly if it changes. Notify us immediately at hi@guidejot.com of any unauthorized account use or security breach.

We reserve the right to suspend, restrict, or terminate accounts that provide false information, share credentials, or otherwise violate these Terms.

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Submit YouTube URLs for videos you do not have the legal right to access, copy, or process, including private videos, videos behind access controls you have bypassed, or content that infringes a third party's copyright, trademark, privacy, or other intellectual property rights.
• Scrape, crawl, or use automated means to bulk-submit URLs, circumvent credit metering, or extract Generated Content from the Service at scale without our prior written consent. Reasonable personal or small-team use of browser automation for testing or integration purposes is permitted.
• Resell, redistribute, sublicense, or commercially exploit the Service or Generated Content as a standalone product, a dataset, or a competing offering, without a separate written agreement.
• Interfere with, probe, or disrupt the integrity or performance of the Service, or attempt to access non-public endpoints, database records, or other users' data.
• Submit content that is illegal, defamatory, abusive, harassing, discriminatory, violent, hateful, obscene, or otherwise objectionable as reasonably determined by us.
• Share your account credentials with unauthorized third parties or use another user's account without their explicit permission.

SOP generation is paid for via pre-purchased credits. Credits are sold in defined packs and processed through our third-party payment processor. All prices are in US Dollars (USD) unless otherwise stated.

Credits are consumed atomically when an SOP generation job is created, before processing begins. If a job fails due to a platform-side error (as reasonably determined by us), a compensating refund will be automatically applied to your credit balance.

If you are unsatisfied with the Service for any reason, contact us at hi@guidejot.com within 7 calendar days of your credit-pack purchase and we will issue a full refund to your original payment method, no explanation required. This guarantee applies once per customer.

After the 7-day guarantee window, we may still issue discretionary refunds for charge errors or other exceptional situations at our reasonable discretion. To request such a review, please contact us at hi@guidejot.com with a brief explanation within 14 calendar days of the charge date.

Credits are non-transferable, non-redeemable for cash (except as required by this guarantee or by law), and non-expiring. Credits cannot be combined across separate accounts or sold to third parties.

All software, code, algorithms, trademarks, service marks, logos, trade dress, user interfaces, designs, documentation, and model weights associated with the Service are the property of GuideJot or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.

You retain ownership of the content you submit to the Service (e.g., YouTube URLs and accompanying notes), to the extent you held ownership in the first place.

For Generated Content you paid credits to receive, we grant you a perpetual, irrevocable (for outputs tied to paid generation jobs), non-exclusive, non-transferable, worldwide, fully-paid-up, royalty-free license to copy, modify, distribute, and use the portions of Generated Content to which we hold rights, solely for your internal business or personal purposes.

To the extent Generated Content derives from the underlying YouTube video (e.g., transcript snippets or the creator's original instructions), the original video's uploader or rights holder retains those rights. You are responsible for complying with the source video's license and with applicable copyright law when using such portions.

The Service and all Generated Content are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.

We do not guarantee the accuracy, completeness, timeliness, reliability, or suitability of Generated Content for any purpose. GuideJot does not provide legal, financial, accounting, tax, medical, health, safety, engineering, or professional advice of any kind. You use the Service and Generated Content at your own risk.

To the fullest extent permitted by law, GuideJot and its owners, employees, contractors, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use the Service.

In no event will our total aggregate liability for all claims arising out of or related to these Terms or the Service exceed the total amount you actually paid us for credits in the six (6) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so this limitation may not apply to you.

Either party may terminate this agreement at any time. You may terminate by ceasing use of the Service and deleting your account from the Account page. Upon account deletion, your personal data will be deleted or anonymized in accordance with our Privacy Policy and any applicable legal retention requirements.

We may suspend or terminate your account and access to the Service at our discretion, without notice, for conduct we reasonably believe violates these Terms or applicable law, or poses a risk to GuideJot, our users, or third parties.

Upon termination (by either party), your right to use the Service ceases immediately. Any remaining credits will be forfeited with no right to refund, except as required by law. Sections relating to payment obligations already owed, intellectual property, disclaimers, limitation of liability, and governing law survive termination indefinitely.

We may update these Terms of Service from time to time. We will notify you of material changes by email (to the address on file for your account) or by posting a prominent notice on the Service at least seven (7) days before the changes take effect. Non-material changes (e.g., clarifications, typo corrections) become effective immediately upon posting.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of California for any disputes arising out of or related to these Terms or the Service. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GuideJot regarding your use of the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right.
